ZenDukan Founder License Agreement

This Founder License Agreement (the “Agreement”) is a legally binding contract between COMPUTER DUKAN DIGITAL SOLUTIONS PRIVATE LIMITED (doing business as “ZenDukan“), and you (the “Founder Partner” or “Licensee“).
By completing the purchase of the ZenDukan Founder License for the sum of ₹24,999, you acknowledge that you have read, understood, and agreed to the terms outlined herein.
1. Grant of License
1.1 Lifetime Access: ZenDukan hereby grants the Founder Partner a non-exclusive, non-transferable, and perpetual license to use the ZenDukan SaaS platform for the purpose of operating an e-commerce storefront. 1.2 No Recurring Fees: This license specifically exempts the Founder Partner from standard monthly or annual subscription fees for the “Core SaaS” features available at the time of purchase. 1.3 ONDC Connectivity: The license includes integrated access to the Open Network for Digital Commerce (ONDC) registry, subject to compliance with ONDC network policies.
2. Financial Terms
2.1 Investment Amount: The one-time license fee is ₹24,999 (inclusive of applicable taxes). 2.2 Technology Fee: In addition to the license fee, ZenDukan will charge a 1% Technology Fee on the Gross Merchandise Value (GMV) of every successful transaction processed through the platform. 2.3 Non-Refundable: Due to the digital nature of the platform and the exclusive “Founder Status” granted, this license fee is 100% non-refundable once the account has been activated.
3. Operational Responsibilities
3.1 Compliance: The Founder Partner agrees to comply with all Indian laws, including but not limited to the Information Technology Act, 2000 and GST regulations. 3.2 Product Integrity: The Founder Partner is solely responsible for the quality, delivery, and legal compliance of products sold. ZenDukan acts only as a technology facilitator. 3.3 Account Security: The Licensee is responsible for maintaining the confidentiality of their ZenDukan OS credentials.
4. ONDC & Third-Party Services
4.1 Network Rules: Usage of the ONDC network is subject to the rules set by the ONDC Registry. ZenDukan is not liable for changes in ONDC network protocols or buyer-app (e.g., Paytm, PhonePe) display algorithms. 4.2 Logistics & Payments: While ZenDukan provides integrations with logistics and payment partners, the contractual relationship for those services exists between the Founder Partner and the respective service provider.
5. Intellectual Property
5.1 Ownership: All rights, title, and interest in the ZenDukan software, AI engines, and brand assets remain the exclusive property of Computer Dukan Digital Solutions Private Limited. 5.2 Feedback: Any suggestions or feedback provided by the Founder Partner may be used by ZenDukan to improve the platform without compensation.
6. Termination
6.1 For Cause: ZenDukan reserves the right to terminate this license immediately if the Founder Partner engages in fraudulent activity, sells prohibited items, or brings disrepute to the ZenDukan brand. 6.2 Effect of Termination: Upon termination, all access to the SaaS dashboard and ONDC bridge will be revoked.
7. Dispute Resolution
7.1 Jurisdiction: This agreement is governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai/Manesar.
