ZenDukan Terms of Service

Welcome to ZenDukan. These Terms of Service (“Terms”) govern your access to and use of the ZenDukan software, website, and services provided by COMPUTER DUKAN DIGITAL SOLUTIONS PRIVATE LIMITED (“Company,” “we,” “us,” or “our”).

By creating an account or using our platform, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Use of the Service

1.1 Eligibility: You must be at least 18 years of age and represent a valid business entity to use ZenDukan. 1.2 Account Responsibility: You are responsible for all activity that occurs under your account. You must maintain the security of your password and notify us immediately of any unauthorized use. 1.3 Prohibited Use: You may not use the service for any illegal purpose, to transmit malware, or to sell prohibited items (as defined by Indian Law and ONDC guidelines).

2. Software License & Restrictions

2.1 License: We grant you a limited, non-transferable, revocable license to use the ZenDukan platform to manage your e-commerce operations. 2.2 Restrictions: You shall not:

  • Reverse engineer, decompile, or attempt to extract the source code of ZenDukan.
  • Use the Service to build a competitive product.
  • Bypass any security measures or rate limits.

3. Seller Obligations & Content

3.1 Accuracy of Information: You must provide accurate descriptions, pricing, and stock status for all products listed. 3.2 Ownership of Content: You retain all rights to the images and text you upload. However, you grant ZenDukan a license to host and display this content on the ONDC network and your storefront. 3.3 Customer Service: You are solely responsible for managing order fulfillment, returns, and customer disputes.

4. Payments, Fees & Taxes

4.1 Platform Fees: You agree to pay all applicable fees, including the 1% Technology Fee on successful sales and any agreed-upon setup or subscription costs. 4.2 Taxes: You are responsible for calculating, collecting, and remitting all applicable taxes (GST) related to your sales. 4.3 Payment Gateways: Payments are processed via third-party providers. ZenDukan is not responsible for delays caused by these providers.

5. ONDC Network Participation

5.1 Compliance: By using our ONDC bridge, you agree to follow the ONDC Network Policy and Code of Conduct. 5.2 Data Sharing: You authorize ZenDukan to share your product and order data with the ONDC registry and Buyer Apps (like Paytm/PhonePe) to facilitate transactions.

6. Limitation of Liability

To the maximum extent permitted by law, COMPUTER DUKAN DIGITAL SOLUTIONS PRIVATE LIMITED shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data, arising out of your use of the Service.

7. Indemnification

You agree to indemnify and hold ZenDukan harmless from any claims, damages, or legal fees arising from your products, your breach of these Terms, or your violation of any third-party rights.

8. Modifications to Service

We reserve the right to modify or discontinue features of the Service at any time. We will provide notice for significant changes that affect your subscription or fees.

9. Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved in the courts of Mumbai/Manesar.
